On May 20, 2005, Ken Groove, a Japanese Corporation filed a civil lawsuit against NuTech Digital, Inc., a California corporation in Los Angeles for breach of contract, accounting, conversion, breach of fiduciary duty, constructive trust, and for a temporary restraining order and preliminary injunction.

I'm a bit puzzled by the wording of the press release. I understand the breach of contract and breach of fiduciary duty parts, but I don't understand the part where Ken Groove Corp. is suing for "accounting and conversion"? Confused What exactly does that mean? Are they suing them for bad accounting practices as well?

This would be the accounting and conversion part:

Quote:
Ken Groove alleges that NuTech was in breach of its animation distribution agreement with Ken Groove by allegedly tendering payments in the sum of $292,000 on insufficient funds and failing to abide by Ken Groove’s distribution agreement.

According to today's press release, NuTech has failed to pay full royalties on the licensed titles, and has allowed the titles to be streamed online without Ken Groove's permission.

This lawsuit probably explains why Nutech has not released anything for a long time and all of their products being 50% off their list price at many websites.

If they really want to hit non-paying or non-licensees, they should look into a certain Grecian H-company. They sell DVD's for 10 euro a pop that include all episodes of a series and use the American artwork (minus region symbols and any form of copyright notices) in Holland. The subtitles are taken straight from Nu-Tech and Kitty Media releases. I've seen shops dump all 100% legal 'normal' local releases in favor of these 99% sure pr0n bootlegs, because they make 300% profit on them... Sad

biliano: I don't know what the accounting is about, but conversion is a legal term for stealing. Whether thats what them mean or not, I'm not sure, but it makes some form of sense.

Pfft. Given how many Hentai Websites "Steal" from one another and Artists themselves, i'm not surprised.

Conversion is, roughly, the appropriation of another's property that was legally in your possession but you now possess illegally because the true owner has revoke your right to own it.
My take on the accounting and conversion claim is that KEN GROOVE is alleging Nu-Tech of not turning over the rightful and correct amount of proceeds generated by the sale of Ken Groove's products pursuant to the agreement between Ken Groove and Nu-Tech and that Nu-Tech's retention of those funds, Nu-Tech has converted Ken Groove's monies.
Of course without seeing the complaint i cannot be certain.

Reading all of this makes me wonder how long NuTech will stay afloat if they are so strapped of finances that they would resort to unlawful business practices (but then again, they are a porno/hentei distributor, so their hands are already "dirty" Wink ).

BTW, thanks to those responding to my accounting/conversion question. That was a big help. Cool

NuTech also paid Ken Groove $292,000 on insufficient funds.
